These Terms of Use (the "Terms") constitute a legally binding agreement between you and ThoughtWire Technologies Private Limited. ("Unicircle," "Company," "we," or "us"). By accessing and using our Services, you are acknowledging and accepting all the terms and conditions contained herein.
These Terms will remain in effect for the duration of your usage of the Services and encompass the provisions outlined in this document. This includes provisions related to mandatory arbitration on an individual basis, the waiver of jury trials, class actions, and any provisions referred to in our Privacy Policy and Copyright Dispute Policy.
As we continuously strive to enhance our Services, it may become necessary to modify these Terms in conjunction with such improvements. We retain the right to amend these Terms at any time. Should changes occur, we will notify you through notices placed on the Unicircle.in website, email communication, revised Terms posted with an updated date, or by other means.
If you disagree with the modified Terms, you have the option to reject them. Regrettably, rejecting the revised Terms implies that you will no longer be able to utilize our Services. By continuing to use our Services following the implementation of changes to the Terms, you indicate your acceptance of the revised terms.
Any amendments or alterations to these Terms, aside from those made by us as stated above, will only be effective when documented in writing and signed by both parties, namely, you and us.
What are the fundamental principles of utilizing Unicircle?
Unicircle's mission is to amplify the narratives of students and connect them with life-changing opportunities. We have developed a platform where students can creatively and professionally upload images, videos, and documents, thereby establishing Unicircle as the professional identity for the next generation.
To use our Services, you may register for an account and provide your name, school information, email address, and select a password. You are obligated to furnish us with accurate, complete, and up-to-date registration information. You may not select a name that you are not entitled to use, or impersonate another person by using their name without proper authorization. Transferring your account to another party is not permissible without our prior written consent.
Institutions, schools, colleges, and/or universities may register students, alumni, and participating companies before they become Unicircle members, providing various information, including but not limited to, names, email addresses, locations, degree programs, and graduation years (collectively referred to as "Third Party Information"). Prior to submitting any Third Party Information, you must obtain consent from the relevant third party to do so. If you lack consent to share Third Party Information, you must refrain from providing it to us. By submitting any Third Party Information to Unicircle, you affirm and warrant that you possess the necessary rights to do so.
You also affirm and warrant that you are of legal age to enter into a binding contract, or if not, you have obtained consent from your parent or guardian to use our Services, and they have agreed to these Terms on your behalf. If you are accepting these Terms on behalf of an organization or entity, you affirm and warrant that you are authorized to do so on their behalf and to bind them to these Terms. In such cases, references to "you" and "your" in these Terms (excluding this sentence) pertain to that organization or entity.
You may only use our Services in a manner consistent with all applicable laws. If your use of our Services contravenes applicable laws, you are not authorized to use them. We will not accept responsibility for your unlawful use of our Services.
You are prohibited from sharing your account or password with anyone, and it is your responsibility to safeguard the security of your account and password. You are accountable for any activities associated with your account.
We grant you a limited, non-exclusive right to create a text hyperlink for non-commercial purposes, provided that such a link does not portray Unicircle or any of its products and services in a false, misleading, derogatory, or otherwise defamatory manner. Furthermore, the linking site must not contain adult or illegal material or any content that is offensive, harassing, or otherwise objectionable. We reserve the right to revoke this limited right at any time. You may not employ a Unicircle logo or other proprietary graphics of Unicircle to link to our Services without Unicircle's express written permission. Additionally, you may not use, frame, or employ framing techniques to enclose any Unicircle trademark, logo, or other proprietary information, including the images featured in our Services, the textual content, or the layout/design of any page or form contained on a page on our Services without Unicircle's express written consent.
Engaging in any of the aforementioned prohibited activities will result in immediate termination and legal action, if necessary.
Content, including but not limited to text, software, scripts, graphics, photos, sounds, music, videos, interactive features, and the like ("Content") and User Submissions (as defined below), submitted by users, is our property and subject to copyright and other intellectual property rights under the law. Content is provided to you "as is" and for your information and personal use only.
Our Services provide you with the ability to submit, post, or display content, including but not limited to text, photographs, images, videos, music, sound, graphics, data, or other information, as well as comment on, interact with, or otherwise participate in user activities (collectively, "User Submissions"). User Submissions are the sole responsibility of the person or entity that submits them, and you acknowledge and agree that we are not responsible for any User Submissions.
By providing User Submissions, you grant us a worldwide, non-exclusive, royalty-free, fully paid-up, sub-licensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Services and our business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels now known or hereafter devised. You also grant each user of the Services a non-exclusive license to access your User Submissions through the Services, and to use, reproduce, distribute, display, and perform such User Submissions as permitted through the functionality of the Services and under these Terms.
You represent and warrant that you have all the rights, power, and authority necessary to grant the rights granted herein to any User Submissions that you submit, including all necessary rights to upload and display content, trademarks, logos, trade names, service marks, copyrighted works, and all other intellectual property.
You understand that whether or not such User Submissions are published, we do not guarantee any confidentiality with respect to any User Submissions. You are solely responsible for your own User Submissions and the consequences of posting or publishing them. You understand and agree that any loss or damage of any kind that occurs as a result of the use of any User Submissions that you send, upload, download, stream, post, transmit, display, or otherwise make available or access through your use of the Services, is solely your responsibility. You also agree that we are only acting as a passive conduit for your online distribution and publication of your User Submissions. Unicircle, however, reserves the right to remove any User Submissions from the Services at its discretion.
We do not monitor, verify, endorse, or claim ownership of any User Submissions. We also do not guarantee the accuracy, integrity, or quality of User Submissions. You understand that by using the Services, you may be exposed to User Submissions that are offensive, indecent, or objectionable. Under no circumstances will we be liable in any way for any User Submissions, including, but not limited to, errors or omissions in any User Submissions, or for any loss or damage of any kind incurred as a result of the use of any User Submissions posted, emailed, transmitted, or otherwise made available via the Services.
You are solely responsible for any User Submissions you submit or contribute to the Services. By submitting User Submissions to the Services, you represent and warrant that you have all rights, licenses, consents, and releases necessary to grant to Unicircle the rights in your User Submissions as contemplated under these Terms.
You understand that all User Submissions are the sole responsibility of the person from which such User Submissions originated. This means that you, and not Unicircle, are entirely responsible for all User Submissions that you upload, post, email, transmit, or otherwise make available through the Services. We do not control the User Submissions posted via the Services and, as such, do not guarantee the accuracy, integrity, or quality of such User Submissions. You understand that by using the Services, you may be exposed to User Submissions that are offensive, indecent, or objectionable. Under no circumstances will we be liable in any way for any User Submissions, including, but not limited to, any errors or omissions in any User Submissions, or any loss or damage of any kind incurred as a result of the use of any User Submissions posted, emailed, transmitted, or otherwise made available via the Services.
You acknowledge that we may not pre-screen User Submissions, but that we and our designees shall have the right (but not the obligation) in our sole discretion to refuse or remove any User Submission that is available via the Services. Without limiting the foregoing, we and our designees shall have the right to remove any User Submission that violates these Terms or is deemed by us, in our sole discretion, to be otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any User Submissions, including any reliance on the accuracy, completeness, or usefulness of such User Submissions.
You acknowledge that we do not guarantee the availability of User Submissions through the Services and that we may, in our sole discretion, remove or modify any User Submission at any time and without notice to you, including User Submissions that we believe to be in violation of these Terms or our policies.
